Welcome to The Aesthetic Generator LLC ("Company," "we," "us," or "our"), a limited liability company organized and existing under the laws of the Commonwealth of Virginia. These Terms and Conditions ("Terms," "Agreement") constitute a legally binding agreement between you ("Client," "you," or "your") and The Aesthetic Generator LLC governing your access to and use of our website located at aestheticgenerator.com (the "Site"), as well as any services, tools, features, content, or products offered through the Site or through any engagement with our Company (collectively, the "Services").

By accessing or using the Site, engaging our Services, submitting any form, creating an account, making a purchase, scheduling a consultation, or otherwise interacting with our Company in any capacity, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must immediately discontinue use of the Site and Services.

We reserve the right to modify, amend, or update these Terms at any time, in our sole discretion, without prior notice. Any changes will be effective immediately upon posting to the Site. Your continued use of the Site or Services following the posting of revised Terms constitutes your acceptance of such changes. It is your responsibility to review these Terms periodically for updates.

The Aesthetic Generator LLC is a Virginia limited liability company that provides contracted marketing services, business consulting, technology integration, and strategic advisory services to healthcare practices, medical spas, aesthetic clinics, wellness centers, fitness studios, and related businesses (collectively, "Healthcare and Wellness Businesses"). Our services are designed to support and enhance the marketing, operational, and technological capabilities of our clients.

The Aesthetic Generator LLC is not a healthcare provider, medical practice, pharmacy, electronic health records company, or clinical services organization. We do not provide medical advice, diagnoses, treatments, prescriptions, or any form of clinical care. We do not practice medicine, nursing, pharmacy, or any other licensed healthcare profession. Any references to healthcare-related services on our Site or in our marketing materials refer exclusively to marketing and business consulting services provided to healthcare businesses.

All services provided by The Aesthetic Generator LLC are contracted marketing and consulting services. We operate as an independent contractor, not as an employee, agent, partner, or joint venturer of any client.

The Aesthetic Generator LLC provides, but is not limited to, the following categories of contracted marketing and consulting services:

• Social Media Marketing: Organic social media content creation, scheduling, and management for platforms including but not limited to Instagram, Facebook, TikTok, LinkedIn, and other social media platforms. This includes AI-powered auto-qualification systems, content calendars, and engagement strategies.
• Paid Advertising Management: Setup, management, optimization, and reporting of paid advertising campaigns on platforms including but not limited to Meta (Facebook/Instagram), Google Ads, TikTok Ads, and other digital advertising platforms.
• Search Engine Optimization (SEO): AI-powered and traditional search engine optimization services including keyword research, on-page optimization, technical SEO, content strategy, link building, and local SEO.
• Web Design and Development: Website design, development, hosting consultation, landing page creation, conversion rate optimization, and user experience design.
• CRM Implementation and Management: Setup, customization, and management of customer relationship management systems, including but not limited to GoHighLevel, HubSpot, Salesforce, and custom-built CRM solutions.
• AI Systems and Automation: Implementation of artificial intelligence systems, chatbots, workflow automation, lead qualification systems, and intelligent business process automation.
• Content Creation: Copywriting, graphic design, video production, email marketing campaigns, blog content, and other creative marketing materials.
• Business Consulting: Strategic marketing consultation, practice growth planning, market analysis, competitive analysis, and business development advisory services.
• Technology Integration: Integration of third-party software, platforms, and tools into client business operations, including EHR systems, telehealth platforms, payment processors, and communication tools.
• Referral and Partnership Coordination: Facilitation of introductions and coordination with third-party service providers, including but not limited to compliance certification providers, telehealth platforms, pharmacy networks, and medical staffing organizations.

All marketing content, advertising campaigns, creative materials, copy, automations, email sequences, landing pages, and any other marketing deliverables produced by The Aesthetic Generator LLC are subject to and require the express written or electronic approval of the Client before publication, deployment, or distribution.

The Client acknowledges and agrees to the following responsibilities:

• Final Approval Authority: The Client retains sole and final approval authority over all marketing content and campaigns before they are published or launched. The Aesthetic Generator LLC will not publish, deploy, or distribute any marketing materials without the Client's prior approval.
• Advertising Account Ownership: All advertising campaigns are run within the Client's own advertising accounts (Meta Business Manager, Google Ads account, TikTok Ads Manager, etc.). The Client maintains full ownership and control of these accounts at all times. The Aesthetic Generator LLC operates within these accounts solely as an authorized agent at the Client's direction.
• Compliance Responsibility: The Client is solely responsible for ensuring that all marketing content, claims, and advertising comply with applicable federal, state, and local laws, regulations, and industry guidelines, including but not limited to FDA regulations, FTC guidelines, HIPAA requirements, state medical board regulations, state advertising laws, and any platform-specific advertising policies.
• Accuracy of Information: The Client is responsible for the accuracy, truthfulness, and completeness of all information, claims, testimonials, before-and-after images, pricing, and other content provided to The Aesthetic Generator LLC for use in marketing materials.
• Timely Communication: The Client agrees to provide timely feedback, approvals, and requested information to facilitate the efficient delivery of Services.
• License and Credential Maintenance: The Client is solely responsible for maintaining all necessary licenses, certifications, permits, and credentials required to operate their business and offer the services they market.

The Aesthetic Generator LLC does not claim ownership of any creative content, copy, advertising materials, automations, email sequences, landing pages, funnels, CRM configurations, or any other marketing deliverables ("Deliverables") produced for or provided to the Client.

Upon full payment for the applicable Services, all Deliverables created specifically for the Client shall become the property of the Client, subject to the following conditions:

• Client Ownership of Deliverables: The Client shall own all rights, title, and interest in and to the Deliverables created specifically for them, including all intellectual property rights therein.
• Company Tools and Methodologies: Notwithstanding the foregoing, The Aesthetic Generator LLC retains all rights to its proprietary tools, methodologies, frameworks, templates, processes, know-how, and any pre-existing intellectual property used in the creation of Deliverables. The Client receives a non-exclusive, non-transferable license to use such tools and methodologies solely as incorporated into the Deliverables.
• Third-Party Assets: Any third-party assets (stock images, fonts, software licenses, platform subscriptions, etc.) incorporated into Deliverables remain subject to their respective third-party license terms.
• Portfolio Rights: The Aesthetic Generator LLC reserves the right to display and reference the work performed for the Client in its portfolio, case studies, and marketing materials, unless the Client provides written notice to the contrary.

THE AESTHETIC GENERATOR LLC ASSUMES NO LIABILITY WHATSOEVER FOR ANY MARKETING CONTENT, CAMPAIGNS, ADVERTISEMENTS, OR COMMUNICATIONS THAT THE CLIENT APPROVES AND DEPLOYS, WHETHER DIRECTED TO BUSINESSES (B2B) OR CONSUMERS (B2C).

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• No Guarantee of Results: The Aesthetic Generator LLC makes no guarantees, representations, or warranties regarding specific results, outcomes, revenue increases, patient/client acquisition numbers, return on investment, or any other performance metrics. Marketing results are inherently variable and depend on numerous factors beyond our control, including but not limited to market conditions, competition, client operations, service quality, pricing, and consumer behavior.
• No Liability for Client-Approved Content: Once the Client approves any marketing content, campaign, or communication for publication or distribution, The Aesthetic Generator LLC shall have no liability for any claims, damages, losses, penalties, fines, or legal actions arising from or related to such content, including but not limited to claims of false advertising, misleading claims, regulatory violations, intellectual property infringement, defamation, or any other cause of action.
• No Liability for Business Decisions: The Aesthetic Generator LLC shall not be liable for any business decisions made by the Client based on our recommendations, strategies, or advice. All business decisions remain the sole responsibility of the Client.
• No Liability for Third-Party Platforms: The Aesthetic Generator LLC shall not be liable for any changes, disruptions, account suspensions, policy changes, algorithm updates, or other actions taken by third-party platforms (including but not limited to Meta, Google, TikTok, or any other platform) that may affect the Client's advertising campaigns or marketing efforts.
• Maximum Liability Cap: IN NO EVENT SHALL THE AESTHETIC GENERATOR LLC'S TOTAL AGGREGATE LIABILITY TO THE CLIENT FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE TOTAL AMOUNT PAID BY THE CLIENT TO THE AESTHETIC GENERATOR LLC DURING THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
• Exclusion of Consequential Damages: IN NO EVENT SHALL THE AESTHETIC GENERATOR LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND WHETHER OR NOT THE AESTHETIC GENERATOR LLC WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

The Aesthetic Generator LLC maintains relationships with various third-party companies, service providers, and referral partners ("Partners") to facilitate comprehensive solutions for our clients. These Partners are independent third-party companies that The Aesthetic Generator LLC does not own, operate, control, manage, or have any equity interest in.

Our current Partners include, but are not limited to:

• LegitScript (LegitScript.com): A third-party compliance certification and monitoring company. LegitScript provides healthcare compliance certification services independently. The Aesthetic Generator LLC facilitates introductions and coordination but does not provide, guarantee, or assume responsibility for LegitScript's certification process, decisions, timelines, or outcomes.
• Project Blue (tryprojectblue.com): A third-party messaging and communication technology company. Project Blue provides iMessage and communication services independently. The Aesthetic Generator LLC facilitates introductions and may assist with integration but does not provide, guarantee, or assume responsibility for Project Blue's services, technology, uptime, deliverability, or outcomes.
• TrueEval Medical Group (TrueEval.com): A third-party medical group providing telehealth services, clinical directorship, in-person medical directorship, and Good Faith Examination (GFE) services. TrueEval is an independent medical organization. The Aesthetic Generator LLC facilitates introductions and coordination but does not provide, guarantee, or assume responsibility for TrueEval's medical services, clinical decisions, provider qualifications, licensing, malpractice coverage, or any aspect of clinical care.
• VeinLife IV (VeinLifeIV.com): A third-party IV therapy service provider. VeinLife IV provides IV therapy services, products, and clinical protocols independently. The Aesthetic Generator LLC facilitates introductions and marketing support but does not provide, guarantee, or assume responsibility for VeinLife IV's services, products, clinical outcomes, or safety.
• MorphRx Recovery & Wellness (MorphRX.co): A third-party recovery and wellness service provider. MorphRx provides recovery protocols, wellness programs, and related services independently. The Aesthetic Generator LLC facilitates introductions and marketing support but does not provide, guarantee, or assume responsibility for MorphRx's services, products, clinical outcomes, or safety.

The Client acknowledges and agrees that:

• Any engagement with a Partner is a separate and independent contractual relationship between the Client and the Partner.
• The Aesthetic Generator LLC is not a party to any agreement between the Client and any Partner.
• The Aesthetic Generator LLC does not guarantee the availability, quality, pricing, or continuity of any Partner's services.
• The Client is solely responsible for conducting due diligence on any Partner before engaging their services.
• The Aesthetic Generator LLC may receive referral fees, commissions, or other compensation from Partners, and the Client acknowledges and consents to such arrangements.
• The Aesthetic Generator LLC may change, add, or remove Partners at any time without notice to the Client.

The Client agrees to pay all fees associated with the Services as outlined in the applicable service agreement, proposal, or as displayed on the Site at the time of purchase. Payment terms include:

• Recurring Services: Monthly subscription services are billed on a recurring basis. The Client authorizes automatic billing to the payment method on file. Cancellation of recurring services must be submitted in writing at least thirty (30) days prior to the next billing cycle.
• One-Time Services: One-time service fees are due upon purchase or as specified in the applicable service agreement.
• Late Payments: Payments not received within fifteen (15) days of the due date may be subject to a late fee of 1.5% per month (or the maximum rate permitted by law, whichever is less) on the outstanding balance.
• Service Suspension: The Aesthetic Generator LLC reserves the right to suspend or terminate Services for any account with an outstanding balance exceeding thirty (30) days past due.
• Refund Policy: Due to the nature of marketing services, all fees paid are generally non-refundable. Refund requests will be evaluated on a case-by-case basis at the sole discretion of The Aesthetic Generator LLC.
• Taxes: All fees are exclusive of applicable taxes. The Client is responsible for all applicable sales, use, value-added, or other taxes imposed by any governmental authority.

Each party agrees to maintain the confidentiality of all non-public information received from the other party in connection with these Terms or the Services ("Confidential Information"). Confidential Information includes, but is not limited to, business plans, financial information, customer lists, marketing strategies, proprietary processes, trade secrets, and any other information designated as confidential or that a reasonable person would understand to be confidential.

Neither party shall disclose, use, or permit the disclosure or use of the other party's Confidential Information except as necessary to perform its obligations under these Terms or as required by law. This confidentiality obligation shall survive the termination of these Terms for a period of three (3) years.

The Client agrees to indemnify, defend, and hold harmless The Aesthetic Generator LLC, its members, managers, officers, employees, agents, contractors, and affiliates from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

• The Client's use of the Services or the Site;
• Any marketing content, campaigns, or communications approved by the Client;
• The Client's breach of these Terms;
• The Client's violation of any applicable law, regulation, or third-party right;
• Any claims arising from the Client's business operations, products, or services;
• Any claims arising from the Client's engagement with any third-party Partner;
• Any inaccurate, misleading, or false information provided by the Client to The Aesthetic Generator LLC;
• Any claims related to the Client's advertising accounts, including but not limited to platform policy violations, account suspensions, or regulatory actions.

Either party may terminate the service relationship by providing thirty (30) days' written notice to the other party. The Aesthetic Generator LLC may immediately terminate or suspend Services without notice if:

• The Client breaches any material provision of these Terms;
• The Client fails to make timely payment;
• The Client engages in illegal, fraudulent, or unethical business practices;
• Continuing the relationship would expose The Aesthetic Generator LLC to legal or reputational risk.

Upon termination, the Client shall pay all outstanding fees for Services rendered through the effective date of termination. Sections relating to limitation of liability, indemnification, confidentiality, and governing law shall survive termination.

The Aesthetic Generator LLC is not a covered entity or business associate under the Health Insurance Portability and Accountability Act of 1996 ("HIPAA"). We do not access, store, process, or transmit Protected Health Information ("PHI") as defined under HIPAA.

The Client is solely responsible for ensuring that no PHI is shared with The Aesthetic Generator LLC through any channel, including but not limited to marketing forms, CRM systems, email communications, or file sharing. If the Client requires marketing services that involve PHI, the Client must implement appropriate safeguards and enter into a separate Business Associate Agreement ("BAA") with The Aesthetic Generator LLC prior to sharing any PHI.

The Client acknowledges that any information shared with The Aesthetic Generator LLC for marketing purposes should be de-identified in accordance with HIPAA de-identification standards (45 CFR § 164.514).

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of laws principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall first be submitted to good faith mediation. If mediation is unsuccessful, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall take place in the Commonwealth of Virginia. The arbitrator's decision shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction.

THE CLIENT WAIVES ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST THE AESTHETIC GENERATOR LLC. All disputes must be brought in the Client's individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

The Aesthetic Generator LLC utilizes artificial intelligence ("AI"), machine learning, and automated systems in the delivery of certain Services, including but not limited to content generation, lead qualification, chatbot interactions, data analysis, SEO optimization, and campaign optimization.

The Client acknowledges and agrees that:

• AI-generated content may require human review and editing before publication;
• AI systems may produce inaccurate, incomplete, or biased outputs;
• The Client is responsible for reviewing and approving all AI-generated content before use;
• The Aesthetic Generator LLC makes no warranties regarding the accuracy, completeness, or suitability of AI-generated outputs;
• AI and automated systems are tools that supplement, not replace, professional marketing judgment.

The Aesthetic Generator LLC may provide analytics, reports, and data insights as part of the Services. The Client acknowledges that:

• All analytics and reporting data is provided for informational purposes only and should not be the sole basis for business decisions;
• Data accuracy depends on third-party platforms and tracking technologies that may have limitations;
• The Aesthetic Generator LLC is not responsible for discrepancies between our reporting and the Client's internal data or third-party platform data;
• Historical performance data does not guarantee future results.

Neither party shall be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to acts of God, natural disasters, pandemics, epidemics, war, terrorism, riots, government actions, power failures, internet outages, platform outages, cyberattacks, or any other event beyond reasonable control ("Force Majeure Event"). The affected party shall provide prompt notice to the other party and use reasonable efforts to mitigate the effects of the Force Majeure Event.

• Entire Agreement: These Terms, together with any applicable service agreements, proposals, or order forms, constitute the entire agreement between the parties and supersede all prior or contemporaneous agreements, understandings, negotiations, and discussions, whether written or oral.
• Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: The failure of either party to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
• Assignment: The Client may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of The Aesthetic Generator LLC. The Aesthetic Generator LLC may assign these Terms without restriction.
• Notices: All notices under these Terms shall be in writing and delivered to the addresses specified in the applicable service agreement or to such other address as either party may designate in writing.
• Independent Contractors: The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between the parties.
• Headings: Section headings are for convenience only and shall not affect the interpretation of these Terms.
• Electronic Signatures: The parties agree that electronic signatures and electronic acceptance of these Terms shall have the same legal effect as original signatures.
